You hereby grant to Configure.IT a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, access, view, copy, adapt, modify, distribute, transfer, publicly display, publicly perform, transmit, stream, broadcast and otherwise exploit such Content in any and all media now and in the future, for any purpose relating to the Service. Configure.IT does not claim any ownership rights in your Content and nothing in these Terms of Service will be deemed to restrict any rights that you may have to use and exploit any such Content.
We claim no intellectual property rights over your Content. Your profile and materials uploaded by you remain yours. However, by using the Service to create your Application, you agree to allow others to view and share your Content via your Application.
Configure.IT does not pre-screen Content, but Configure.IT and its designee have the right (but not the obligation) in their sole discretion to refuse or remove any Content that is available via the Service.
The Site and the Service, including their “look and feel” are protected by copyright, trademark, and other laws of the United States and foreign countries. Configure.IT exclusively owns all right, title and interest in and to the Site and the Service, including all associated intellectual property rights. Without limiting the foregoing, you may not duplicate, copy, or reuse any portion of the HTML/CSS or visual design elements of the Site or the Service without express written permission from Configure.IT .
You shall be solely responsible for securing and paying for all digital phonorecord delivery mechanical licenses, any public performance licenses, synchronization licenses and any other licenses from musical composition copyright owners (or their agents) required in connection all Content selected by you for use in connection with your Application.
Additional Reservation Of Rights
Configure.IT expressly reserves the right to deny, cancel, terminate, suspend, lock, or modify access to (or control of) any User Account or Services (including the right to cancel any application) that it deems necessary, in its sole and absolute discretion, (i) to correct mistakes made by Configure.IT in offering or delivering any aspect of the Service, (ii) to protect the integrity and stability of, and correct mistakes made by, any domain name registry, (iii) to comply with applicable local, state, national and international laws, rules and regulations, (iv) to comply with requests of law enforcement, including subpoena requests, (v) to comply with any dispute resolution process, (vi) to defend any legal action or threatened legal action without consideration for whether such legal action or threatened legal action is eventually determined to be with or without merit, or (vii) to avoid any civil or criminal liability on the part of Configure.IT, its officers, directors, employees and agents, as well as Configure.IT ‘s affiliates. Configure.IT expressly reserves the right to review every User Account for excessive space and bandwidth utilization, and to terminate or apply additional fees to those User Accounts that exceed allowed levels.
You acknowledge you have read, understand and agree to be bound by Configure.IT ‘s Anti-Spam Policy referenced. You agree Configure.IT may immediately terminate any User Account which it believes, in its sole and absolute discretion, is transmitting or is otherwise connected with any spam or other unsolicited bulk email.
Indemnification
You agree that you will hold harmless Configure.IT , its affiliates and the respective shareholders, officers, directors, employees, agents, licensors and suppliers of Configure.IT and its affiliates from any and all claims arising out of or related to your access or use of, or your inability to access or use, the Configure.IT website or from the services rendered or made available by Configure.IT in conjunction with your use of the Configure.IT website. This includes but is not limited to, claims that you have found something you have heard, viewed or downloaded from the Configure.IT website or another site to which it is linked to be obscene, offensive, defamatory or infringing upon your intellectual property rights. This also includes claims by third parties arising out of your transmission or posting of any User Content to or via the Configure.IT website, your use of the content and tools on the Configure.IT website, your creation of any Application(s), your use of the Configure.IT website, your connection to the Configure.IT website, your violation of these Terms, or your violation of any rights of any other third party. In no event will Configure.IT , its affiliates or the contributors of content to the Configure.IT website be liable to you or anyone else for any decision made or action taken by you in reliance on such information or for any consequential, special or similar damages, even if advised of the possibility of such damages.
